1. Payment Terms
All invoices are due within thirty (30) days from the listed on the invoice date. Prism Triangle, LLC reserves the right to suspend services for accounts with outstanding balances beyond thirty (30) days without prior notice. Accounts with balances overdue by sixty (60) or more days may be referred to a collections agency. The client agrees to pay all reasonable costs of collection, including attorneys' fees, incurred by Prism Triangle, LLC as a result of non-payment.
2. Personal Guaranty
The undersigned, individually and on behalf of the named business entity, unconditionally guarantees to Prism Triangle, LLC the full and prompt payment of all obligations, present and future, owed to Prism Triangle, LLC. This guaranty is continuing in nature and shall remain in full force and effect until written notice of revocation is delivered to Prism Triangle, LLC. Revocation shall not affect obligations already incurred prior to the date of revocation.
3. Sample Submission & Retention
The client is responsible for ensuring samples are submitted in compliance with Prism Triangle, LLC sample submission requirements. Samples submitted in improper condition (e.g., compromised packaging, temperature exceedance, improper labeling) may be rejected or reported with qualification. Prism Triangle, LLC will retain samples for a minimum of thirty (30) days following final report issuance unless alternative arrangements are made in writing. After this period, samples may be disposed of in accordance with applicable regulations.
4. Confidentiality
All client information, submitted samples, and test results are treated as confidential. Prism Triangle, LLC will not disclose client-specific results to any third party except as required by Michigan MRA regulations, accreditation body oversight activities, or valid legal process. The client agrees that by submitting samples for testing, they consent to the laboratory's submission of required regulatory reports to the Michigan MRA.
5. Use of Results & Certificates of Analysis
Certificates of Analysis issued by Prism Triangle, LLC are specific to the samples tested and the conditions under which they were tested. Results may not be extrapolated to other lots, batches, or products not represented by the submitted sample. Reproduction or alteration of a Certificate of Analysis, in whole or in part, without the written consent of Prism Triangle, LLC is strictly prohibited. Any unauthorized modification of a CoA constitutes a violation of applicable law.
6. Limitation of Liability
Prism Triangle, LLC's liability arising from the performance of testing services is limited to the fees paid by the client for the specific testing in question. Prism Triangle, LLC shall not be liable for any consequential, incidental, indirect, or special damages arising from the use of or reliance upon test results, including but not limited to lost profits, product recalls, or regulatory penalties.
8. Amendment & Termination
Prism Triangle, LLC reserves the right to update these Terms & Conditions at any time. Updated terms will be provided to the client in writing with thirty (30) days' notice. Continued use of laboratory services following such notice constitutes acceptance of the updated terms. Either party may terminate this agreement upon thirty (30) days' written notice. Termination does not relieve the client of payment obligations for services already rendered.
